Terms of Service

These terms govern your use of GarmentFlow. They are written to be read — plain language, no traps. If anything is unclear, write to us before you agree to it.
1 · The service
GarmentFlow is production software for garment factories, delivered as a hosted service. Each customer runs on their own instance with their own database. The service is built on the Frappe Framework and ERPNext, which are open-source software licensed by their respective owners.
We provide the service, the hosting, updates and support. You provide the data you put into it and decide how your factory uses it.
2 · Your account
You must be a business, be legally able to enter this agreement, and give us accurate registration details. You are responsible for everything done under your account, including by your employees and anyone you invite.
Keep your credentials secure. Tell us promptly at support@garmentflow.io if you believe an account has been compromised.
3 · Plans and how we measure them
Plans are priced by the size of your factory, not per user. Every paid plan allows unlimited users on unlimited devices.

How "active operators" is counted
An active operator is a distinct employee record that has recorded at least one production operation in the previous 30 days. The figure is calculated automatically from your operation ledger and shown to your administrators inside the service.
If your active operator count exceeds your plan band, we will notify your administrators inside the service and by email. We will contact you to agree an upgrade if the count remains above the band for two consecutive months. We will not suspend or restrict a live production system over a plan band. Any adjustment takes effect from the date agreed, or at your next renewal.
Features included in each plan are listed on our pricing page. We may add features to plans; we will not remove a material feature from a plan you are paying for without at least 60 days' notice.
4 · The Design plan
The Design plan is provided free of charge and includes fashion flats, tech packs, patterns, samples, colorways, bills of materials and costing, with no limit on the number of styles.
Free accounts receive community support only. We may limit or suspend a free account that is inactive for twelve months or more, or that is being used in a way that is abusive, automated, or intended to circumvent paid plans. We will give reasonable notice and an opportunity to export before doing so.
5 · Payment
Our order process and payments are conducted by our online reseller Paddle.com, which is the Merchant of Record for all orders. Paddle handles all billing enquiries, customer service enquiries relating to payment, and applicable taxes. Paddle's Buyer Terms and Conditions apply to your purchase in addition to these terms.
Subscriptions renew automatically for the same period unless cancelled before the renewal date. Prices are stated in US dollars and exclude any taxes Paddle is required to collect. Annual prepayment receives two months free.
Where an onboarding or implementation fee is quoted, it is a one-time fee separate from the subscription and is invoiced at the start of the work.
6 · Pausing your subscription
Garment manufacturing is seasonal. You may pause a paid subscription for up to three months in any twelve-month period.
While paused you are not billed and the service is unavailable, but your data, styles and history are retained in full. Request a pause through your account or by writing to support@garmentflow.io. Resuming restarts billing from the resumption date.
7 · Your data and your designs
You own everything you put into GarmentFlow. Your styles, patterns, tech packs, flats, orders, costs, employee records and production history remain yours, together with any intellectual property in them. Nothing in these terms transfers ownership to us.
We will not sell your data, share it with third parties for their own purposes, or use it to train machine-learning models. We access your instance only where necessary to operate the service, to provide support you have requested, to comply with law, or to investigate a suspected breach of these terms.
You may export your data at any time in standard formats. On termination we will keep your data available for export for 30 days, then delete it. We can retain it longer by written agreement.

8 · Acceptable use
You agree not to: use the service unlawfully; upload material that infringes someone else's rights; attempt to breach or probe security or access another customer's instance; resell or provide the service to third parties without our written agreement; reverse engineer the proprietary parts of the software; or use the service in a way that damages its availability for others.
Rights granted to you are for your own business use. This agreement does not grant you the right to redistribute, sublicense or host GarmentFlow for others.
9 · Availability and support
We aim to keep the service available at all times and host it on professionally managed, certified infrastructure with daily backups. We do not guarantee uninterrupted availability. Planned maintenance is scheduled outside normal production hours where practical and announced in advance where it may cause interruption.
Support is provided by email during business hours to paid plans. Response targets and any service level commitments for Enterprise customers are set out in the applicable order form.
10 · Third-party and open-source components
GarmentFlow is built on the Frappe Framework and ERPNext, and includes other open-source components, each governed by its own licence. Those licences continue to apply to those components. Where we rely on third-party providers for hosting, payments, email or analytics, we remain responsible to you for the service under these terms.
11 · Suspension, cancellation and termination
You may cancel a subscription at any time, effective at the end of the current billing period. Refunds are governed by our Refund Policy.
We may suspend or terminate an account for non-payment after notice and a reasonable opportunity to correct it, for a serious or repeated breach of these terms, or where required by law. Except in cases of unlawful activity or a security risk, we will give notice and a reasonable opportunity to export your data first.
12 · Warranties and disclaimers
We warrant that we will provide the service with reasonable skill and care. Beyond that, and to the maximum extent permitted by law, the service is provided "as is" without warranties of any kind, whether express or implied, including fitness for a particular purpose.
GarmentFlow is a tool that records and reports what you and your team enter. It does not replace your own judgement about production, costing, quality, safety or regulatory compliance. You remain responsible for the decisions you take using it.
13 · Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect or consequential loss, loss of profit, loss of production, loss of anticipated savings, or loss of business opportunity.
Our total aggregate liability arising out of or in connection with these terms is limited to the amounts you paid us for the service in the twelve months preceding the event giving rise to the claim.
Nothing in these terms limits liability that cannot lawfully be limited, including for death or personal injury caused by negligence, or for fraud.
14 · Changes to these terms
We may update these terms. For material changes affecting paid customers we will give at least 30 days' notice by email and in the service. Continuing to use the service after the change takes effect means you accept the updated terms. If you do not accept them, you may cancel before they take effect and we will refund any prepaid, unused subscription period.
15 · Assignment
We may transfer these terms, and our rights and obligations under them, to another company we control, to a successor entity, or as part of a reorganisation, merger or sale of the business. We will tell you before this happens, and your rights under these terms are not reduced by such a transfer.
You may not transfer these terms, or your account, to anyone else without our written consent. We will not withhold that consent unreasonably — for example, if your business is reorganised or acquired, tell us and we will move your account across.
16 · Governing law and disputes
These terms are governed by the laws of PARAGUAY, and the courts of PARAGUAY have exclusive jurisdiction, without prejudice to any mandatory consumer or local law protections available to you.
Before starting formal proceedings, both parties agree to attempt to resolve any dispute in good faith by writing to the other.
